Terms of Service

1. Agreement to Terms

By creating an account, accessing, or using VerdAict (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Service is operated by Sean Kopen, doing business as VerdAict in Alberta, Canada ("VerdAict," "we," "us," or "our").

If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using VerdAict, you represent and warrant that you meet this age requirement.

3. Account Registration

To access the Service, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Description of the Service

VerdAict is a self-serve AI focus group platform. Users submit creative materials, messaging, or campaign briefs ("User Content") and receive AI-generated feedback from simulated personas across configurable test types. Users may also engage in post-test conversation with the AI-generated panel.

All feedback, scores, analysis, and conversation responses generated by the Service ("Output") are produced by artificial intelligence. Output does not constitute professional advice of any kind, including but not limited to marketing, legal, financial, or strategic advice. Output should be treated as one input among many in your decision-making process. VerdAict makes no representation that Output reflects the views, preferences, or likely behaviour of any real individual or demographic group.

5. User Content

5.1 Ownership

You retain all rights, title, and interest in your User Content. Nothing in these Terms transfers ownership of your User Content to VerdAict.

5.2 License Grant

By submitting User Content to the Service, you grant VerdAict a limited, non-exclusive, non-transferable license to process your User Content solely for the purpose of providing the Service to you: specifically, to generate AI feedback and enable post-test conversation within your session.

VerdAict does not use your User Content to train, fine-tune, or improve AI models. Your uploaded materials are processed to deliver your session results and are not shared with other users or third parties except as required to operate the Service (e.g., transmission to AI infrastructure providers for processing).

5.3 Content Retention

Content retention varies by subscription tier:

• Free / Trial: User Content and Output are retained for up to 30 days following the session, after which they are permanently deleted.
• Solo: User Content and Output are retained in your session archive for up to 90 days from the session date, after which they are permanently deleted.
• Studio: User Content and Output are retained in your session archive for up to 180 days from the session date, after which they are permanently deleted.
• Agency: User Content and Output are retained in your session archive for up to 365 days from the session date, after which they are permanently deleted.
• Enterprise: Retention periods for Enterprise arrangements are defined in the applicable Enterprise agreement and may exceed the standard periods above.
• Account deletion: Upon account deletion, all User Content and Output associated with your account will be permanently deleted within 30 days.

5.4 Prohibited Content

You agree not to submit User Content that:

• Infringes the intellectual property rights of any third party
• Contains unlawful, defamatory, obscene, or harmful material
• Contains personal data of individuals who have not consented to its use in this context
• Violates any applicable law or regulation

VerdAict reserves the right to remove content and suspend accounts that violate these restrictions.

6. Subscription Plans and Billing

6.1 Plans

The Service is available under the following subscription tiers: Free / Trial, Solo, Studio, and Agency. Enterprise arrangements are available by contacting us at sales@verdaict.ai. Current pricing, credit allocations, and feature inclusions are described on our Pricing page and may be updated from time to time.

6.2 Credits

Each subscription tier includes a monthly allocation of session credits. Credit consumption varies by session type: Quick Check sessions consume 1 credit, Deep Dive sessions consume 3 credits, A/B Quick Check sessions consume 2 credits, and A/B Deep Dive sessions consume 4 credits. Credit consumption details are explained on the Pricing page. Credits reset at the beginning of each billing cycle and do not roll over to subsequent cycles.

6.3 Billing

Paid subscriptions are billed monthly or annually via Stripe. By subscribing to a paid plan, you authorize VerdAict to charge your designated payment method on a recurring basis. You are responsible for keeping your payment information current.

6.4 Cancellation and Changes

You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the start of your next billing cycle. No refunds are issued for partial billing periods.

6.5 Free Tier

The Free / Trial tier does not require payment information. VerdAict reserves the right to modify or discontinue the Free tier at any time.

7. Acceptable Use

You agree not to:

• Use the Service to generate content that is unlawful, harmful, threatening, abusive, or harassing
• Attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or prompts used by the Service
• Use automated means (bots, scrapers, etc.) to access the Service outside of its intended interface
• Resell, sublicense, or redistribute the Service or Output without prior written consent from VerdAict
• Circumvent credit limits, account restrictions, or security measures
• Use the Service in a manner that could damage, disable, or impair its operation

VerdAict reserves the right to suspend or terminate access for violations of this section.

8. Intellectual Property

8.1 Service IP

The Service, including its design, interface, underlying technology, AI prompts, persona configurations, scoring methodologies, and all associated intellectual property, is and remains the exclusive property of VerdAict. These Terms grant you no rights to VerdAict's intellectual property beyond the limited right to use the Service as described herein.

8.2 Output

You may use Output generated from your sessions for your own internal and commercial purposes, including incorporating it into client deliverables. Output is generated algorithmically and may be similar to output generated for other users from different inputs. VerdAict does not claim ownership of Output but makes no guarantee of its uniqueness or exclusivity.

9. Indemnification

You agree to indemnify and hold harmless VerdAict, its operator, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any applicable law or third-party right

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• VerdAict provides the Service "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• VerdAict does not warrant that Output will be accurate, complete, reliable, or suitable for any particular purpose.
• In no event shall VerdAict's total liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the amounts you paid to VerdAict in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
• VerdAict shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.

11. Modifications to the Service and Terms

VerdAict may modify the Service, pricing, or these Terms at any time. For material changes to these Terms, we will provide at least 30 days notice via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any modification constitutes acceptance of the updated Terms.

12. Termination

Either party may terminate this agreement at any time. You may terminate by cancelling your subscription and deleting your account. VerdAict may terminate or suspend your access immediately if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5.1, 8, 9, 10, and 13) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, and you consent to the personal jurisdiction of such courts.

14. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and VerdAict regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment. You may not assign your rights under these Terms without our prior written consent. VerdAict may assign its rights and obligations without restriction.

Force Majeure. VerdAict shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control.
